1. INTRODUCTION AND ACCEPTANCE OF TERMS
Welcome to Purse, a real-money fantasy golf contest mobile application operated by Let It Ride Sports LLC, a Delaware limited liability company. Purse allows registered users to participate in fantasy golf contests and compete for cash prizes against other players.
These Terms of Service (hereinafter "Terms") constitute a legal agreement between you and Let It Ride Sports LLC (hereinafter "Company," "Developer," "we," "us," or "our"). By accessing, downloading, installing, or using the Purse mobile application (hereinafter "App"), website, and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
These Terms apply to all users of the Service, including users who view content, contribute information, and any other forms of use. These Terms and any other documents referenced herein constitute the entire agreement between you and the Company regarding your use of the Service.
2. ELIGIBILITY
By using the Service, you represent and warrant that:
You are at least 18 years of age or the age of majority in your jurisdiction of residence, whichever is greater;
You are a resident of the United States;
You are not a resident of, and will not access the Service from, any of the following jurisdictions: Arkansas, Hawaii, Idaho, Iowa, Louisiana, Maryland, Michigan, Maine, Montana, Nevada, or New York;
You are not located in any jurisdiction where the provision of real-money gaming services is illegal or restricted;
You are not an employee, officer, director, or affiliate of the Company or any contest sponsor;
You have not been banned or suspended from the Service or any other gaming platform;
You will comply with all applicable federal, state, and local laws and regulations;
You are not engaged in any occupation or affiliation that would create a conflict of interest with your participation; and
All information you provide in connection with your account is accurate, truthful, and current.
The Company reserves the right to request additional verification information to confirm your eligibility, including but not limited to identity verification, address verification, and other Know Your Customer (KYC) procedures. Failure to provide such information may result in suspension or termination of your account.
Users who have been self-excluded from other gaming platforms or who have self-excluded from gambling in general should not use the Service. By using the Service, you confirm that you have no self-exclusion restriction in place.
3. USER ACCOUNTS
To use the Service, you must create a user account and provide accurate, complete, and current information about yourself. You are responsible for:
Providing accurate and truthful information during registration;
Maintaining the confidentiality of your password and account credentials;
All activities that occur under your account;
Immediately notifying the Company of any unauthorized use of your account.
You may not transfer, sell, or assign your account to any other person or entity. Each account is personal to you and may be used only by you. The Company reserves the right to merge duplicate accounts or suspend accounts that violate this provision.
The Company may, at its sole discretion, refuse service, close accounts, remove or edit content, or cancel contests for any reason, including but not limited to: (a) violations of these Terms; (b) detected fraud or suspicious activity; (c) regulatory concerns; or (d) operational reasons.
You agree to comply with all identity verification and Know Your Customer (KYC) procedures required by the Company. The Company may use third-party vendors to verify your identity and address. You authorize the Company to share necessary personal information with such vendors for verification purposes.
4. CONTEST RULES AND MECHANICS
4.1 Overview
Purse is a skill-based fantasy golf contest platform. Participants create lineups by selecting golfers from professional golf tournaments, designate a predicted winner, and compete for cash prizes based on the actual tournament results. All contests involve real-money entry fees and real-money prizes.
4.2 Lineup Construction
Each player shall:
Select ten (10) golfers from the available tournament field;
Designate one (1) of the selected golfers as their predicted tournament "Winner";
Have no salary cap or other financial constraint on golfer selection;
Complete their lineup prior to lineup lock time.
There is no salary cap or cap on golfer selection value. Players may select any combination of golfers available in the field.
4.3 Scoring System
Points are awarded as follows:
Each golfer receives +1 point for each stroke under par and -1 point for each stroke over par;
The "Winner" designation provides a 1.5x multiplier on that golfer's final score if that golfer finishes as the actual tournament winner;
Golfers who withdraw (WD), are disqualified (DQ), or miss the cut (MC) receive one (1) point less than the last-place finisher who makes the cut;
A player's contest score is the sum of all ten selected golfers' scores;
If multiple players tie on the same score, tied positions' prize amounts are aggregated and divided equally among all tied players.
4.4 Lineup Lock
All lineups lock exactly one (1) minute before the first tee time of Round 1 of the tournament. Players must complete and submit their lineup before this deadline. No changes to lineups are permitted after lock time. The Company is not responsible for missed lock times due to technical issues, network delays, or user error.
4.5 Maximum Entries Per Contest
Each player may submit a maximum of three (3) separate lineups (entries) per contest. Additional entries beyond this limit will be rejected. This restriction applies per contest and resets for each new tournament.
4.6 Contest Entry Sizes and Availability
Contests are offered with fixed entry sizes. The number of available entries per contest is limited. Once a contest reaches maximum capacity, new entries are not accepted. The Company will clearly display the number of entries available before a player commits to entering a contest.
4.7 Winner Determination
The player whose lineup produces the highest aggregate score wins the contest and becomes eligible for the contest's prize pool. In the event of a tie, the prize amounts attributable to the tied positions are combined and divided equally among all tied participants.
4.8 Grand Prize - "Top 10 + Winner"
In addition to the primary contest structure, the Company may offer a "Top 10 + Winner" Grand Prize opportunity. To qualify for this Grand Prize (valued at $1,000,000 or more), a player must:
Correctly identify the actual tournament winner (the golfer designated as the "Winner" prediction must finish as the tournament's first-place finisher);
Have nine (9) other golfers from their lineup finish among the top ten (10) money finishers in the tournament.
Meeting these conditions triggers eligibility for the Grand Prize. The Company will verify these conditions using official PGA Tour or relevant governing body data. Grand Prize winners will be contacted and verified before prize distribution.
4.9 Tournament Data and Results
Contest scoring is based on official tournament data from the relevant professional golf tour (e.g., PGA Tour, PGA Tour Champions, Korn Ferry Tour). The Company uses the official source data to calculate scores. Any disputes regarding scoring shall be resolved by reference to the official tour data. The Company reserves the right to correct scoring errors and adjust prize distributions accordingly.
Multi-round tournaments: All rounds are scored and counted toward the final tally. Players' lineups remain static across all rounds of the tournament.
4.10 No Tie-Breaking by Submission Time
Ties in contest standings are resolved solely by aggregating the prize amounts associated with the tied positions and dividing equally. Submission time is not used as a tie-breaker.
5. SKILL ELEMENTS
Purse is a skill-based game. Success depends primarily on the participant's knowledge, experience, and strategic decision-making. The following skill elements are central to the game:
Golfer Evaluation and Field Analysis: Players must evaluate the strengths, weaknesses, and suitability of individual golfers competing in a tournament.
Course-Fit and Conditions Analysis: Players must assess how tournament course characteristics and playing conditions favor or disadvantage specific golfers based on their playing styles, historical performance at similar courses, and weather factors.
Strategic Roster Construction: Players must balance golfer selection to optimize roster composition, considering upside potential, consistency, injury risk, and recent form.
Winner Designation Strategy: Players must make an informed prediction about which golfer will win the tournament and decide whether to use their one winner designation on a high-probability pick or a higher-upside option.
Grand Prize Optimization: For Grand Prize contests, players must construct lineups that balance the challenge of correctly identifying the tournament winner with the secondary objective of having nine golfers finish in the top ten money finishers.
Multi-Round Tournament Management: Players must understand how scoring accumulates across multiple rounds and how long-term tournament progression affects lineup value.
Bankroll and Multi-Entry Management: Players must make strategic decisions about how many entries to submit in a contest and manage their overall contest participation across multiple tournaments.
These skill elements are significantly influenced by player knowledge, experience, research, and strategic decision-making, not by random chance or luck. Professional players and successful amateurs consistently outperform novices, demonstrating the predominance of skill.
6. ENTRY FEES, PRIZES, AND CHARITABLE DONATIONS
6.1 Entry Fees
To participate in a contest, you must pay the designated entry fee for that contest. Entry fees vary by contest and are clearly displayed before you commit to entering. Payment must be made through the methods available in the App (e.g., credit card, debit card, or other authorized payment processors).
All entry fees are processed immediately. Once an entry fee is submitted and accepted, payment has been rendered. Disputes regarding payment must be reported to the Company within thirty (30) days of the transaction.
6.2 Mandatory Charitable Donation
Of each entry fee paid by a player, fifty percent (50%) is immediately transferred as a mandatory, irrevocable donation to a nonprofit organization of the player's choice (hereinafter "Nonprofit Partner"). This donation is non-refundable under any circumstances, including if the player withdraws from the contest, if the contest is canceled, or if the player violates these Terms. By paying an entry fee, the player irrevocably designates a Nonprofit Partner and authorizes the Company to transfer fifty percent (50%) of the entry fee to that organization.
The player may select their Nonprofit Partner at the time of entry or may have previously designated a default organization in their account settings. The Company will facilitate the transfer of donated funds to the selected Nonprofit Partner within a timeframe permitted by law and banking regulations.
The Company makes no representations regarding the tax-deductibility of the charitable donation. Players should consult with their tax advisor regarding the deductibility of such donations. The Company will provide documentation of donated amounts for tax purposes upon request.
6.3 Company Retention and Prize Pool Allocation
Of each entry fee, fifty percent (50%) is retained by the Company to fund operations, marketing, development, customer support, payment processing, regulatory compliance, and prize distribution. Of this fifty percent (50%) retention, ten percent (10%) of the total entry fees received (across all entries in a contest) is allocated to fund the contest's cash prize pool.
The remaining forty percent (40%) of entry fees is retained by the Company for operational and business purposes. This allocation is independent of the prize pool funding.
Example breakdown for a $100 entry fee:
$50.00 — Donated to Nonprofit Partner (mandatory, irrevocable)
$5.00 — Allocated to contest prize pool (10% of total entry fees)
$45.00 — Retained by Company (40% of total entry fees)
6.4 Prize Pools and Prize Distribution
Prize pools are funded by ten percent (10%) of all entry fees collected for a contest. The Company calculates the prize pool based on the total entry fees collected. Prizes are distributed in a tiered waterfall structure:
Top prize goes to the player with the highest-scoring lineup;
Second prize goes to the second-highest scoring lineup;
Prizes continue downward through at least the top ten (10) finishing players;
Any remaining prize pool funds are distributed according to the contest's specific prize structure, which will be displayed before entry.
The specific prize amounts for each position are calculated based on the contest structure and will be displayed to players before they enter. Prize amounts are locked once the contest closes to new entries.
6.5 Prize Sharing with Nonprofit Partners
When a player finishes in a prize-winning position, the prize amount earned is split as follows:
Fifty percent (50%) of the prize is paid directly to the winning player;
Fifty percent (50%) of the prize is donated to the Nonprofit Partner the player designated at the time of entry.
For example, if a player wins $1,000 in a contest, $500 is paid to the player and $500 is donated to the designated Nonprofit Partner. This split applies to all contest prizes.
6.6 Grand Prize Structure
The "Top 10 + Winner" Grand Prize is a special prize opportunity offered in select contests. If a player's lineup meets the Grand Prize criteria (correctly identifying the tournament winner and having nine golfers finish in the top ten), that player becomes eligible for the Grand Prize, which may exceed $1,000,000. The Company will communicate specific Grand Prize amounts and distribution timelines when such contests are offered.
Grand Prize winners are subject to the same fifty percent (50%) prize sharing with designated Nonprofit Partners as all other prizes.
6.7 No Refunds
All entry fees are final and non-refundable, except as required by law or as determined at the Company's sole discretion. This includes:
Entry fees paid for contests that are canceled;
Entry fees paid before you verify your account;
Entry fees paid in violation of these Terms or applicable law;
Disputed charges or erroneous payments.
If a contest is canceled by the Company due to force majeure or regulatory reasons, the Company may, at its discretion, refund entry fees, offer contest credits, or distribute remaining prize pool funds according to the best-possible outcome based on available data.
7. PROHIBITED CONDUCT
You agree not to engage in any of the following conduct while using the Service:
Fraud or Misrepresentation: Providing false information, using fake accounts, impersonating others, or misrepresenting your identity, location, age, or eligibility.
Collusion and Cheating: Collaborating with other players to gain unfair advantage, sharing account access, sharing lineups before lock, or coordinating entries to manipulate contest outcomes.
Insider Information: Gaining or using material non-public information about golfers, tournaments, or other participants to gain unfair advantage.
System Abuse: Attempting to exploit bugs, loopholes, or vulnerabilities in the App; using bots or automated tools; or exceeding rate limits.
Illegal Activity: Engaging in any activity that violates federal, state, or local law.
Harassment and Abuse: Sending threatening, harassing, discriminatory, or abusive messages to other users or Company staff.
Prohibited Content: Posting, uploading, or transmitting illegal content, hate speech, graphic violence, sexual content, or content that violates third-party rights.
Unauthorized Access: Attempting to access the App or other users' accounts without authorization; using the Service to develop competing products; or reverse-engineering the App.
Payment Fraud: Disputing legitimate charges, using stolen payment methods, or committing chargeback fraud.
Location Circumvention: Using VPNs, proxies, or other means to access the Service from restricted jurisdictions.
Professional Poker and DFS Player Restrictions: Players who are professional poker or DFS players may be subject to additional restrictions or monitoring at the Company's discretion.
The Company reserves the right to investigate suspected violations, request additional information, and take corrective action, including account suspension or termination. Violations may be reported to relevant regulatory and law enforcement authorities.
8. USE OF APP AND MOBILE PROVISIONS
8.1 License and Usage Rights
The Company grants you a limited, non-exclusive, non-transferable, revocable license to download and install the Purse App on a personal mobile device and to use it in accordance with these Terms. You may not:
Copy, modify, or create derivative works based on the App;
Attempt to reverse-engineer, decompile, or disassemble the App;
Sell, rent, lease, or transfer the App or your license to use it;
Use the App to develop competing products or services;
Remove or alter proprietary notices, labels, or marks on the App.
8.2 Apple App Store Terms
If you download the App from Apple App Store, you acknowledge that:
These Terms are an agreement between you and the Company, not with Apple Inc.;
Apple is not responsible for the App, its content, or your use of it;
Apple has no obligation to provide support or maintenance for the App;
Your use of the App must comply with the App Store's Terms of Service;
Apple is not responsible for any disputes regarding the App's legality, content, or your use of it.
For clarity, Apple is not responsible for any gambling, real-money contests, or charitable donations facilitated through the App. You are solely responsible for understanding the legality of the Service in your jurisdiction.
8.3 System Requirements and Updates
The App requires a compatible mobile device with a supported operating system (iOS or Android). The Company may require app updates or impose minimum operating system version requirements. Continued use of the Service following an update constitutes acceptance of any changes. If you refuse an update, you may not be able to access the Service.
8.4 Internet and Mobile Carrier Costs
You are responsible for all internet access, mobile device, and data plan costs associated with using the App. The Company is not responsible for charges imposed by your internet service provider or mobile carrier. Connection failures, slow downloads, or other technical issues on your end do not entitle you to refunds or credits.
9. GAMEPLAY RECORDING AND CONTENT MODERATION
9.1 Content Moderation
The Company monitors the Service for prohibited content and conduct. The Company may:
Remove, modify, or flag user-generated content that violates these Terms;
Investigate user complaints and suspected violations;
Suspend or terminate accounts for violations of these Terms;
Report suspected illegal activity to law enforcement.
The Company exercises moderation in its sole discretion and makes no guarantee of real-time moderation. Users are encouraged to report violations via the in-app reporting feature or by contacting support@letitridesports.com.
9.2 Gameplay Recording and Streaming
Players may record and stream their gameplay using the App, provided that:
They do not disclose other players' lineups, strategies, or account information;
They do not claim to represent or speak on behalf of the Company without authorization;
They do not misrepresent the nature or legality of the Service;
They comply with streaming platform terms of service.
The Company retains the right to request that streams be removed if they violate these Terms or promote illegal activity.
10. ELIGIBILITY FOR PRIZES
Players must meet all eligibility requirements to win and claim prizes. Ineligible players will forfeit their winnings. Ineligible parties include:
Employees, officers, directors, stockholders, and family members of the Company;
Employees and immediate family members of contest sponsors or their agencies;
Residents of restricted jurisdictions;
Individuals banned from the Service;
Individuals who violate these Terms or applicable law;
Individuals who fail KYC or identity verification.
Prize winners must complete any additional verification or documentation required by the Company before claiming prizes. The Company may withhold prize distribution pending verification. Prize winnings are subject to applicable taxes, which are the winner's responsibility.
Winners may be required to sign an affidavit of eligibility and hold-harmless agreement before receiving prizes. Failure to comply with such requirements forfeits the prize.
The Company may publicly identify prize winners as permitted by law. Winners grant the Company the right to use their name, likeness, and story for promotional purposes unless they explicitly opt out.
11. NO COMMERCIAL USE AND NO REFUNDS
11.1 Personal Use Only
The Service is for personal, individual use only. You may not use the Service for commercial purposes, including:
Reselling, redistributing, or sub-licensing access to the Service;
Using the Service to develop products or services that compete with the Company;
Aggregating data from the Service for commercial purposes;
Providing advice or recommendations for compensation;
Offering managed account services or other third-party services based on the App.
11.2 No Refunds Policy
All entry fees and any funds deposited with the Company are non-refundable, except as required by law. This includes:
Entry fees for canceled or postponed contests;
Deposits made for future contests;
Fees for contests you did not intend to enter;
Winnings forfeited due to violation of these Terms.
The only exception is if the Company determines in its sole discretion that a refund is warranted due to a technical error, processing mistake, or other extraordinary circumstance. Such determinations are final.
12. OWNERSHIP AND INTELLECTUAL PROPERTY
12.1 Company Ownership
The App, website, Services, and all content provided by the Company (including text, graphics, logos, images, software, data, and compilations) are owned by or licensed to the Company and are protected by applicable copyright, trademark, patent, and trade secret laws. All right, title, and interest in the Service remain with the Company.
You acquire no ownership interest in the Service by using it. Your license to use the Service terminates immediately upon termination of these Terms or your account.
12.2 Golf Tournament Data
Tournament data, player statistics, scores, and results used in the Service are provided by official tournament operators and governing bodies (e.g., PGA Tour). The Company does not own this data but has licensed it for use in the Service. You may not use such data for commercial purposes or in violation of the licenses under which the Company operates.
12.3 User-Generated Content
"User-Generated Content" (UGC) refers to any content you upload, post, or transmit through the Service, including profile information, messages, and any publicly shared content. You retain ownership of your UGC.
However, by posting UGC, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and display your UGC in connection with the Service and the Company's business. This includes the right to use your UGC for promotional, marketing, and research purposes.
You are responsible for ensuring that your UGC does not infringe third-party rights and that it complies with these Terms and applicable law.
12.4 Trademarks
"Purse" and all associated logos, marks, and trade dress are trademarks of Let It Ride Sports LLC. Use of these marks without authorization is prohibited. Other trademarks mentioned in the Service are the property of their respective owners.
13. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE
If you believe that your copyrighted work has been infringed through the Service, please notify the Company's designated copyright agent in writing with the following information:
Identification of the copyrighted work claimed to be infringed;
Identification of the infringing material and its location on the Service;
Your contact information (name, address, email, phone);
A statement that you have a good-faith belief that the use is not authorized;
A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright holder;
Your physical or electronic signature.

The Company will respond to valid DMCA notices by investigating the claim and taking appropriate action, which may include removing infringing content. Repeat infringers may have their accounts terminated.
14. THIRD PARTY SERVICES AND LINKS
The Service may contain links to third-party websites, apps, and services not operated by the Company. The Company does not endorse, review, or control third-party services and is not responsible for their content, conduct, or terms. Your use of third-party services is governed by their own terms and privacy policies.
The Service may integrate with or use services provided by:
Payment processors and financial service providers;
Cloud hosting and data storage providers;
Analytics and tracking services;
Social media platforms;
Official PGA Tour and golf tournament data providers.
Your use of such services is subject to their terms. The Company is not liable for any losses or disputes arising from third-party services.
15. DISCLAIMERS AND LIMITATIONS OF LIABILITY
15.1 "AS-IS" Disclaimer
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT:
The Service will be error-free, uninterrupted, or free from viruses or harmful components;
The Service will meet your requirements or expectations;
Any content or data in the Service is accurate or reliable;
The Service will be compatible with all devices or networks;
Any prizes or rewards will be distributed without delay.
15.2 Assumption of Risk
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE THAT PARTICIPATING IN REAL-MONEY CONTESTS INVOLVES FINANCIAL RISK. YOU ASSUME ALL RISKS ASSOCIATED WITH:
Loss of entry fees and deposits;
Failure to win prizes;
Technical failures and outages;
Delays in prize distribution;
Changes to contest rules or service terms;
Other users' conduct and misuse of the Service.
15.3 Limitation of Liability
IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
LOST PROFITS, REVENUE, DATA, OR USE;
LOST ENTRY FEES, DEPOSITS, OR WINNINGS;
DAMAGE TO YOUR DEVICE OR ACCOUNT;
THIRD-PARTY CLAIMS OR ACTIONS.
THIS LIMITATION APPLIES EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS THAT DO NOT PERMIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID IN ENTRY FEES DURING THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
15.4 Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, affiliates, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
Your use of the Service;
Your violation of these Terms;
Your violation of applicable law;
Your infringement of third-party rights;
Your UGC or statements;
Disputes with other users.
This indemnification obligation survives termination of these Terms and your account.
16. ARBITRATION AND CLASS ACTION WAIVER
16.1 Mutual Arbitration Agreement
Any dispute arising from or relating to these Terms, your use of the Service, or any contest shall be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with the JAMS Comprehensive Arbitration Rules & Procedures.
By accepting these Terms, both you and the Company agree to arbitrate disputes rather than proceeding in court, except as provided below.
16.2 Exceptions to Arbitration
Notwithstanding the arbitration agreement, the following matters shall NOT be arbitrated:
Claims for injunctive or equitable relief (e.g., to stop unauthorized use of the Service);
Intellectual property disputes;
Small claims court actions (if within that court's jurisdiction).
16.3 Class Action Waiver
YOU AGREE NOT TO BRING ANY DISPUTE AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR IN ANY REPRESENTATIVE CAPACITY. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. IF ARBITRATION IS UNAVAILABLE, DISPUTES SHALL LIKEWISE BE RESOLVED IN COURT ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST THE COMPANY.
16.4 Arbitration Procedures
The arbitration shall be conducted as follows:
The arbitrator shall apply the substantive law of the state applicable to the dispute;
The arbitration shall take place in ${STATE}, unless otherwise agreed;
Discovery shall be limited as permitted by JAMS rules;
The arbitrator's decision shall be final and enforceable in court;
Each party bears its own costs, with the Company paying JAMS filing and arbitrator fees unless the arbitrator determines the claim is frivolous.
16.5 Right to Opt Out
You may opt out of this arbitration agreement by sending written notice to the Company within 30 days of first accepting these Terms. Send opt-out notices to: support@letitridesports.com
If you opt out, both you and the Company retain the right to pursue litigation in court for disputes.
17. ADDITIONAL PROVISIONS
17.1 SMS Opt-In and Communications
By providing your phone number, you opt in to receive SMS communications from the Company regarding your account, contests, and promotional offers. Message and data rates may apply. You may opt out of marketing SMS by texting STOP to the provided number. You may not opt out of transactional SMS (e.g., account alerts, prize notifications).
17.2 Updates to Terms
The Company may update these Terms at any time. Changes become effective when posted to the Service. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you object to changes, your only remedy is to stop using the Service.
17.3 Account Termination
The Company may terminate or suspend your account at any time, with or without cause, by providing notice. Upon termination, your right to use the Service ceases immediately. You remain responsible for any unpaid entry fees or disputed charges.
If the Company terminates your account due to your violation of these Terms, you forfeit any pending winnings or entry fees. The Company may refund any remaining account balance (less any fees or disputed charges) within 30 days.
17.4 Injunctive Relief
You acknowledge that breach of these Terms may cause irreparable harm for which monetary damages are inadequate. The Company shall be entitled to seek injunctive relief (court orders prohibiting certain conduct) without posting bond or proving actual damages.
17.5 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.
17.6 Waiver
The Company's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Only a written waiver signed by the Company's authorized representative constitutes a valid waiver.
17.7 No Third-Party Beneficiaries
These Terms are for your benefit and the Company's benefit only. No other person or entity, including any Nonprofit Partner, has any right to enforce or benefit from these Terms.
17.8 Entire Agreement
These Terms, together with any documents referenced herein and the Company's Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements, understandings, and communications.
17.9 Jurisdiction and Venue
TO THE EXTENT NOT SUBJECT TO MANDATORY ARBITRATION, ANY LITIGATION SHALL BE BROUGHT EXCLUSIVELY IN THE STATE OR FEDERAL COURTS LOCATED IN DELAWARE. YOU CONSENT TO THE JURISDICTION AND VENUE OF THESE COURTS.
17.10 California Residents
California Consumer Legal Remedies Act: California residents may have additional rights. Some of the Company's services may be subject to California law. If you are a California resident, you may have the right to pursue claims under California's consumer protection laws, even though these Terms require arbitration.
Notwithstanding the class action waiver above, if you are a California resident and the class action waiver is found unenforceable, you may pursue claims as part of a class action in California courts.
17.11 Export Control
The Service and related software are subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree not to download, access, or use the Service from any embargoed country or if you are on any U.S. government denied-party list.
17.12 Force Majeure
The Company is not liable for failure to perform any obligation due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government action, telecommunications failures, internet outages, or power failures. In such events, the Company may suspend or cancel contests and refund entry fees or offer contest credits.
17.13 Governing Law
These Terms and your use of the Service are governed by the laws of the State of Delaware, without regard to conflicts of law principles. The statutes of limitations and procedural rules of Delaware shall apply.
17.14 Assignment
You may not assign these Terms or your rights hereunder. Any attempt to assign shall be void. The Company may assign these Terms or the Service to a successor company with notice to you.
17.15 Notices
All notices required under these Terms shall be in writing. Notice to you may be provided by email to the address associated with your account, by posting on the Service, or by mail to your address on file. Notice to the Company should be sent to: support@letitridesports.com
17.16 Counterparts and Electronic Signatures
These Terms may be executed in counterparts, each of which shall be deemed an original. Electronic acceptance of these Terms (by clicking "I Agree" in the App) constitutes a valid signature and binding agreement.
17.17 Language
The Service is provided in English. If these Terms have been translated into another language, the English version governs in case of conflict.
17.18 Miscellaneous
These Terms constitute the entire agreement and supersede all prior negotiations, representations, and agreements. If any provision is found invalid, it shall be reformed to the extent necessary. No provision shall be deemed waived except by written consent of both parties. The section headings are for convenience only and do not affect interpretation.
